In a recent note to clients, Wells Fargo analyst Mike Mayo highlighted the potential impact of this move on the $12.2 billion acquisition. He downgraded Webster's stock, citing concerns over regulatory approval for the deal, which was announced just last month.
But here's where it gets controversial... Mayo suggests that Trump's trade suspension could make it increasingly difficult for Banco Santander, Spain's largest bank, to gain approval for the acquisition. This is a significant hurdle, as the deal aims to propel Santander into the top 10 retail and commercial banks in the U.S., with a combined asset base of approximately $327 billion.
Santander's Executive Chair, Ana Botin, remains optimistic, stating that she expects the U.S. and Spain to quickly recover their strong relationship. However, she acknowledges the extraordinary times we live in.
And this is the part most people miss... The escalating trade tensions between the U.S. and Spain could not only delay the deal but also potentially lead to its denial. If this happens, Mayo predicts that other banks might step in to acquire Webster, but at a reduced price, possibly 10% lower.
As of late afternoon trading, Webster's shares were down 3.2%, while Santander's shares closed more than 6% lower. These numbers reflect the market's reaction to the uncertainty surrounding the deal.
